The Blockchain & Digital Asset Practice Group at Kameli Law combines nearly three decades of commercial litigation with advanced technical literacy in decentralized systems. We navigate the intersection of the Securities Act, Commodity Exchange Act, and state corporate laws to defend token issuers against unregistered offering allegations, arbitrate high-value smart contract breaches, and secure injunctive freezes against centralized exchanges and illicit wallet addresses.

Smart Contract & Protocol Exploits
On-Chain Asset Tracing
Exchange Freezes & Token Recovery
Cryptocurrency disputes move at ledger speed. When a smart contract exploit occurs or an exchange freezes operating wallets, securing emergency temporary restraining orders (TROs) and conducting forensic on-chain forensics within the first 48 hours is critical to prevent total asset dissipation through mixers and non-compliant offshore jurisdictions.

Representing token issuers, foundation directors, crypto funds, and DeFi founders facing inquiries, subpoenas, and enforcement actions by the SEC, CFTC, and FinCEN. We deconstruct allegations of Section 5 violations, market manipulation, and failure to register as a broker-dealer or MSB.
Show Regulatory Defense Protocols
Howey Test Deconstruction: Disproving horizontal commonality and establishing the utility or consumptive nature of digital assets.
Wells Submissions in Crypto Matters: Filing detailed technical and legal briefs to SEC Commissioners demonstrating decentralization.
DOJ Parallel Coordination: Insulating executives from criminal wire fraud and anti-money laundering (BSA) liability.
Litigating failures, vulnerabilities, and breaches of self-executing code, token sale agreements (SAFTs), and decentralized protocols. We evaluate the tension between "code is law" arguments and statutory contract law, asserting claims for conversion, breach of implied covenants, and software developer negligence.
Show Protocol Claims & Legal Remedies
Code vs. Intent Adjudication: Overcoming defenses claiming automated software execution absolves bad-faith exploiters from civil theft.
SAFT & Token Warrant Enforcement: Prosecuting breaches of vesting schedules, lockup periods, and milestone failures against Web3 founders.
Oracles & Liquidity Pool Disputes: Litigating economic damage caused by manipulation of decentralized price feeds and re-entrancy bugs.
Recovering stolen, misappropriated, or wrongfully frozen digital assets. In partnership with leading blockchain intelligence forensic investigators, we trace wallet flows, obtain expedited federal court orders served on centralized exchanges (CEXs), and secure repatriations of funds.
Show Asset Recovery Mechanisms
John Doe Injunctions & Service by NFT: Serving emergency court orders on unidentified hacker wallets and exchange deposit addresses.
Exchange Account Unfreezing: Resolving arbitrary compliance and BSA/AML account locks imposed by Binance, Coinbase, or Kraken.
Constructive Trust Imposition: Securing equitable court liens over traced UTXOs and tokens held across secondary bridge protocols.
Defending Decentralized Autonomous Organizations (DAOs) and founding contributors from catastrophic joint-and-several liability. When courts classify unincorporated DAOs as general partnerships, we insulate individual participants, resolve treasury governance battles, and litigate founder splits.
Show DAO Defense & Founder Strategies
General Partnership Defense: Insulating governance token holders from personal tort and contract liability under CFTC v. Ooki DAO precedents.
Treasury Multisig Disputes: Enforcing fiduciary obligations of multisig keyholders and litigating unauthorized governance votes.
Founder Separation & Intellectual Property: Untangling proprietary software copyrights and token allocations during co-founder departures.

On-Chain Forensic Literacy
Institutional Capability
Bridging Emerging Web3 Code with Traditional Federal Law
Cryptocurrency transactions do not exist in a legal vacuum. Regulators and courts apply established principles of statutory securities laws, commercial contract doctrines, and equitable asset restitution to decentralized networks. Success requires legal counsel that speaks both programming logic and courtroom procedure.
Expert Technical Collaboration: Coordinating with leading blockchain forensic teams to produce unassailable wallet tracking reports and smart contract code audits.
Pre-Enforcement Settlement Leverage: Resolving SEC and state securities commissioner inquiries discreetly prior to public administrative complaints.
Aggressive Asset Protection: Intervening when centralized exchanges or OTC desks freeze legitimate trading capital under overzealous compliance triggers.
Our Digital Asset Dispute Protocol
A three-stage tactical framework engineered to contain regulatory risk, secure on-chain evidence, and enforce commercial rights.
On-Chain Audit & Jurisdictional Analysis
Forensic tracing of ledger transactions, smart contract decompilation, evaluation of tokenomics, and identification of actionable regulatory exposures.
Emergency Relief & Agency Engagement
Filing ex parte TROs to freeze assets at centralized gateways or authoring targeted Wells Submissions to rebut regulatory overreach under Howey.
Trial Litigation or Structured Restitution
Litigating claims before federal juries and international arbitration tribunals, or negotiating discreet token restitution settlements.
Authoritative answers on smart contract enforceability, SEC subpoenas, and crypto asset recovery.
Is a smart contract legally enforceable in court?
Yes. While a smart contract is written in computer code, federal and state courts treat it as an enforceable contract or evidence of a binding agreement if the traditional legal elements of contract formation are met: mutual offer, acceptance, valid consideration, and mutual intent to be bound. If a smart contract contains technical bugs, executes unexpectedly, or is manipulated through flash loans, courts examine the objective intent of the parties, the accompanying whitepaper or terms of service, and principles of unilateral mistake and unjust enrichment to grant rescission or damages.
What should I do if my Web3 project receives an SEC subpoena?
Do not communicate directly with the regulatory staff or attempt to produce documents without seasoned securities defense counsel. Receiving a formal subpoena indicates the SEC has authorized formal compulsory process to investigate potential Section 5 unregistered offering or Section 17/Rule 10b-5 anti-fraud violations. Retaining counsel immediately allows us to negotiate the subpoena scope, protect confidential developer keys and proprietary code, and construct early legal defenses under the Howey doctrine to prevent formal charges.
Can stolen, hacked, or wrongfully frozen cryptocurrency be recovered?
In many instances, yes. Because blockchains are immutable public ledgers, funds leave traceable on-chain breadcrumbs. By deploying specialized forensic analytics alongside legal process, we trace stolen funds as they enter centralized exchanges (CEXs), bridges, or fiat off-ramps. We file federal emergency motions for Temporary Restraining Orders (TROs) to compel exchanges to freeze recipient accounts and deposit addresses, subsequently securing court orders to repatriate the frozen digital assets.
Are DAO participants personally liable for the actions of the DAO?
Under recent federal judicial decisions (such as CFTC v. Ooki DAO and Sowa v. EthereumMax), courts have ruled that unless a Decentralized Autonomous Organization (DAO) is legally wrapped in a recognized limited liability corporate structure (e.g., a Wyoming DAO LLC or offshore foundation), it operates as a general partnership under state law. In an unincorporated general partnership, all voting members or governance token holders can face joint and several personal liability for the debts, contractual breaches, and regulatory fines incurred by the DAO. We advise and defend contributors against this severe exposure.
Don’t let an on-chain dispute or regulatory subpoena threaten your technology and capital. Kameli Law brings nearly 30 years of federal litigation and regulatory defense to the blockchain ecosystem.
